General Terms
General Terms and Conditions for Graphic Design and Web Design Services :
1. Preamble :
These General Terms and Conditions (hereinafter referred to as "T&Cs") govern the contractual relationship between Angora, an independent graphic designer and web designer, and its clients (hereinafter referred to as "the Client"). Any order implies full and unconditional acceptance of these T&Cs.
Artistic concepts and sketches created as part of the project may not be used or retained for another designer.
2. Purpose of the Contract :
These T&Cs define the terms under which the service provider delivers:

Graphic design services (logos, communication materials, etc.);

Web design services (mockup creation, web integration, website design).
They also establish the collaboration framework between the parties.
3. Orders and Quotes :
All services are subject to a detailed quote accepted by the Client before work begins.

The quote is valid for 30 days from its issuance date.

An order is considered confirmed once the signed quote is received, along with a deposit of 50% of the total amount (as per prior agreement).
4. Pricing and Payment Terms:
Prices are expressed in euros, excluding taxes where applicable.
Payment terms are as follows:

Deposit: 50% of the total amount upon order.

Balance: payable in full prior to the delivery of the final files or the publication of the website.
Payments must be made exclusively by bank transfer.
It is expressly agreed that the final files, deliverables, source materials, or definitive access credentials will only be released after full and effective receipt of the outstanding balance. No usage rights are granted prior to full payment.
In the event of late payment, a fixed penalty of €40 will be automatically applied from the invoice due date, without the need for prior notice.
5. Delivery Times :

Delivery times are indicative and depend on the Client’s responsiveness in providing the required content (texts, images, etc.).

Delays caused by a lack of collaboration or approval from the Client do not engage the responsibility of the service provider.
6. Web Design: Content and Features :

Deliverables: Services may include mockup creation, web integration, and/or website deployment.

Content: The Client agrees to provide all required content (texts, images, videos, etc.) within the agreed deadlines.

Technologies: Services include design and, if applicable, integration on platforms such as WordPress, Wix, or WebFlow.

Hosting and Domain Name:

These services are not included unless specified in the quote.

The Client is responsible for choosing their hosting provider and domain name.

Maintenance: Any maintenance after website delivery will be subject to a separate quote.
7. Intellectual Property and Usage Rights :

The creations (graphics and websites) remain the property of the service provider until full payment for the service is received.

Upon payment, usage rights are transferred to the Client as outlined in the quote. This includes:

For graphic designs: Reproduction rights.
-
For websites: Rights to use the delivered website as-is, without access to source files or code unless otherwise agreed.

The service provider reserves the right to showcase the completed projects (visuals and websites) in their portfolio and for promotional purposes unless explicitly agreed otherwise by the Client.
8. Modifications and Revisions :

Any modification request outside the scope initially defined in the quote will require a new quote.

The number of revisions included in the quote is limited to 3:

Graphic Design: Limited to 3 revisions.
-
Web Design: Limited to 3 iterations of mockups.

9. Termination :
-
In case of cancellation by the Client after order confirmation, the deposit remains non-refundable.

If the service provider cancels the project, the deposit will be fully refunded.

If a web design project is abandoned after partial approval, work already completed is payable according to the progress level.
10. Liability :

The service provider commits to delivering work in compliance with the specifications. However, they cannot be held responsible for:

Modifications or damages made to the files or website after delivery;
-
Service interruptions caused by third parties (hosting providers, plugins, etc.);
-
Non-compliance due to content provided by the Client (texts, typography, copyrighted images, etc.).

For websites, the Client is solely responsible for ensuring compliance with applicable regulations (GDPR, legal notices, etc.).
11. Confidentiality :
The service provider and the Client commit to maintaining the confidentiality of all information exchanged as part of the service.
12. Disputes and Jurisdiction :
In case of a dispute, the parties will seek an amicable resolution before initiating legal proceedings. Failing this, the courts of Briey shall have exclusive jurisdiction.
